These Terms and Conditions (“Terms”) govern access to and use of bidzid.app and any related BidZid digital services (collectively, the “Platform”). The Platform is operated by Bidzid Technologies Limited (“BidZid”, “we”, “us”, or “our”), of Shanzu Road, Westlands, Nairobi, Kenya. These Terms form a legally binding agreement between BidZid and each person who accesses or uses the Platform and, where a transaction is concluded, regulate the marketplace rules applicable between Buyers and Sellers.
Please read these Terms carefully before registering, listing an item, placing a bid, purchasing an item, or otherwise using the Platform. By creating an account, clicking to accept these Terms, placing a bid, listing an item, purchasing an item, or continuing to use the Platform after being given reasonable notice of an update, you agree to be bound by these Terms, the Privacy Policy, the Returns, Refunds and Buyer Protection Policy, the Withdrawal and Funds Release Policy, and any other rules expressly incorporated by reference.

1. DEFINITIONS AND INTERPRETATION
In these Terms, unless the context requires otherwise:
- “Account” means a registered BidZid user account.
- “Auction” means a listing under which eligible users compete to purchase an item by submitting bids before the stated closing event.
- “Bid” means an offer submitted by a Buyer through the Platform to purchase an Auction item at the amount recorded by the Platform.
- “Buyer” means a user who bids on, wins, or purchases an item.
- “Business Day” means a day on which commercial banks are generally open for business in Kenya, excluding Sundays and public holidays.
- “Buy It Now” means a fixed-price purchase mechanism where made available on a listing.
- “Listing” means the information, images, description, price, Auction terms and other content submitted in respect of an item offered through the Platform.
- “Seller” or “Vendor” means an individual or business that lists or sells an item through the Platform.
- “Service Fee” means BidZid’s seller commission, currently 8% of the final item sale price unless otherwise disclosed.
- “Transaction Hold” means BidZid’s administrative control over Seller payout, including the period during which a Seller may be technically eligible to request withdrawal but BidZid has not yet approved payout because delivery, Buyer-protection, dispute, payment, verification, fraud or compliance checks remain outstanding.
- “Wallet” means the Platform ledger or display of amounts attributable to a Seller. It is not a bank account, deposit account or interest-bearing account.
- “User” means any person who accesses or uses the Platform, including a Buyer or Seller.
Headings are for convenience only. References to a law include amendments, re-enactments and subsidiary legislation. “Including” means including without limitation. If these Terms conflict with a mandatory provision of Kenyan law, the mandatory provision prevails to the extent of the conflict.
2. ELIGIBILITY AND LEGAL CAPACITY
You must be at least eighteen (18) years old and have legal capacity to enter into binding contracts to create an Account, place a Bid, purchase an item or act as a Seller. By using transactional features of the Platform, you represent and warrant that you satisfy these requirements.
A person using the Platform on behalf of a company, partnership or other organisation represents that the person has authority to bind that organisation. BidZid may request evidence of authority at any time.
The Platform may display or facilitate the sale of products intended for use by persons under 18, but the Account holder and contracting Buyer or Seller must be an adult.
3. NATURE OF THE PLATFORM AND CONTRACTING RELATIONSHIPS
BidZid provides an online marketplace through which independent Sellers may list items and Buyers may discover, bid on and purchase those items. Unless a Listing expressly identifies BidZid as the Seller, BidZid does not own the item, does not take title to it, and is not the manufacturer, importer, distributor or retailer of the item.
The contract for sale of an item is between the Seller and the successful Buyer. The Seller remains responsible for title, authenticity, lawful sale, accurate description, condition, quality, delivery, statutory warranties and remedies applicable to the item. BidZid is separately responsible for providing the Platform services it expressly undertakes under these Terms.
Nothing in these Terms is intended to determine or exclude any statutory classification, licensing requirement or regulatory obligation that may apply to BidZid, a Seller, a transaction or a particular category of goods under Kenyan law.
4. ACCOUNT REGISTRATION AND SECURITY
Users must provide accurate, current and complete information and keep it updated. BidZid may require verification of an email address, mobile number, identity, business status, tax information or payout details before enabling particular features.
You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your Account, except to the extent caused by BidZid’s own breach or security failure. You must notify support@bidzid.app promptly if you suspect unauthorised access or compromise.
Accounts are personal to the registered user and may not be sold, transferred, rented or shared in a manner that circumvents verification or Platform controls. BidZid may require re-verification where account information changes or where fraud, identity theft or misuse is suspected.
5. SELLER VERIFICATION, KYC AND TAX INFORMATION
Before listing or receiving payouts, Sellers must complete the verification steps required by BidZid from time to time. Verification may include a National ID or passport for individual Sellers; KRA PIN and business registration documents for business Sellers; physical or business address; bank or mobile-money payout details; and any further information reasonably required for legal, tax, fraud-prevention or payment-provider compliance.
A Seller must provide a KRA PIN whenever required by applicable tax law, by the Kenya Revenue Authority, or by BidZid to satisfy its own compliance obligations. BidZid may suspend listings or payouts until required tax information is provided and verified.
Verification by BidZid is a risk-control measure and is not an endorsement, warranty or certification of a Seller or item. Users must still exercise reasonable judgment when transacting.
6. SELLER OBLIGATIONS AND LISTING STANDARDS
Each Seller represents and warrants, for every Listing and transaction, that:
- it owns the item or has full legal authority to sell it and pass good title to the Buyer;
- the item is genuine and is not stolen, counterfeit, unlawfully imported, encumbered, recalled, unsafe or otherwise prohibited;
- the Listing is accurate, complete and not misleading, and clearly discloses material defects, damage, prior use, missing components, relevant restrictions and whether the item is new, used, refurbished, reconditioned, clearance, “sold as seen” or otherwise;
- images materially represent the actual item being sold unless clearly identified as illustrative;
- pricing, reserve status, availability, delivery terms and all mandatory charges are accurately disclosed;
- the sale and delivery comply with all applicable laws, licences, product standards, intellectual-property rights, consumer-protection duties and tax requirements; and
- the Seller will honour a completed sale and cooperate with payment, delivery, return and dispute processes.
BidZid may edit formatting, categorise, reject, suspend or remove a Listing where reasonably necessary for Platform integrity, legal compliance, intellectual-property protection, safety or fraud prevention. BidZid is not obliged to pre-screen every Listing.
7. PROHIBITED AND RESTRICTED ITEMS
A Seller must not list any item whose sale, possession, advertising, importation, exportation or delivery would be unlawful or would expose BidZid or another User to unreasonable legal or safety risk. Prohibited or restricted items include, where applicable, stolen goods, counterfeit goods, illegal drugs, unlawfully supplied prescription medicines, prohibited weapons or explosives, child sexual abuse material, human remains, protected wildlife products, unlawfully obtained personal data, fraudulent financial instruments, recalled or dangerously defective products, and goods whose sale requires a licence that the Seller does not hold.
BidZid may maintain additional category-specific restrictions. Where a product may lawfully be sold only subject to age, licensing, labelling, import or other restrictions, the Seller must obtain BidZid’s approval where required and comply with all applicable requirements.
8. AUCTION RULES
8.1 Auction information, reserve price and lot
Each Auction Listing must state the item description, opening or starting price, closing date/time and whether the sale is subject to a reserve price where applicable. The reserve amount itself need not be displayed unless BidZid or applicable law requires otherwise. Each separately identified lot is treated as a separate proposed contract of sale.
8.2 Placing bids
A Bid is submitted when it is received and recorded by the Platform. A bidder is responsible for reviewing the Listing and the amount before submitting a Bid. Bid increments, proxy or automatic bidding rules, if available, are those displayed on the Platform at the time.
8.3 Retraction before the Auction is complete
A bidder may retract a Bid at any time before the sale is complete, as permitted by applicable law. Where a self-service retraction function is available, it should be used. Where it is not available, the bidder must promptly contact BidZid Support and identify the Listing and Bid to be retracted. A retraction is not available after completion of the sale except where required by law or accepted under the Returns, Refunds and Buyer Protection Policy.
Repeated, coordinated or abusive bid-and-retract behaviour intended to manipulate price discovery, interfere with other bidders or avoid legitimate transactions may result in Account restrictions or suspension, without limiting any statutory right to retract before the sale is complete.
8.4 Seller bidding and shill bidding
A Seller must not bid on its own Listing, procure another person to do so, use a connected account to inflate the price, or otherwise engage in shill bidding or artificial price manipulation. Unless a particular Auction expressly discloses a lawful seller-bidding arrangement approved by BidZid, seller bidding is prohibited.
8.5 Completion of an Auction
Subject to applicable law, an Auction sale is complete when the stated Auction closes and the Platform records and communicates the winning valid Bid in the customary electronic manner used by BidZid. After completion, the winning Bid forms the basis of a binding contract of sale between the Seller and winning Buyer, subject to any reserve price and these Terms.
8.6 Technical errors, fraud and interrupted Auctions
BidZid may, where reasonably necessary, pause, extend, cancel, reopen or correct an Auction affected by a material system error, outage, duplicate or corrupted bid, manifest pricing error, suspected fraud or unlawful conduct. BidZid will exercise this power reasonably and, where a sale has already completed, subject to applicable law and the legitimate rights of the affected Buyer and Seller.
9. BUY IT NOW AND FIXED-PRICE TRANSACTIONS
Where a Listing offers a Buy It Now or other fixed-price option, a Buyer makes an offer or purchase through the process displayed on the Platform. The transaction becomes binding at the point communicated by the Platform, subject to stock availability, successful payment and any non-waivable legal rights.
A Seller must not use a fixed-price Listing to misrepresent scarcity, original price, discount, condition or availability.
10. BUYER OBLIGATIONS
A Buyer must use accurate account and delivery information, submit bids in good faith, make payment for a completed purchase within the period displayed or notified by the Platform, cooperate with lawful verification requests, receive or collect the item as agreed, inspect the item promptly, and raise any BidZid Guarantee claim within the applicable Platform window.
A Buyer must not place a Bid that the Buyer knows cannot be honoured, use multiple accounts to manipulate an Auction, collude with another bidder or Seller, misuse chargebacks, submit false return evidence, replace an item before return, or otherwise commit fraud or abuse the Platform.
11. PRICES, FEES AND TAXES
Unless otherwise stated, Listing prices are expressed in Kenya Shillings. Sellers are responsible for accurately stating the item price and any separately payable delivery charge. Any Buyer-facing fee or charge imposed by BidZid will be disclosed before the Buyer completes the relevant transaction.
BidZid charges Sellers an 8% Service Fee on the final item sale price, unless a different fee is clearly disclosed before the Listing or transaction. The Service Fee is deducted from amounts otherwise payable to the Seller. BidZid may change fees prospectively on reasonable notice; a fee change will not retroactively alter a completed sale.
Each Seller is solely responsible for its own income tax, VAT, turnover tax and other tax obligations arising from sales, where applicable. BidZid may issue an eTIMS invoice for BidZid’s Service Fee and may, where legally authorised and technically enabled, facilitate invoicing in relation to the underlying sale. The Seller remains the supplier of the item and remains responsible for the tax treatment and correctness of the underlying sale.
BidZid may collect, retain, report or remit information or amounts where required by tax law or a lawful direction of the Kenya Revenue Authority or another competent authority.
12. PAYMENTS AND TRANSACTION HOLD
Buyer payments are processed through Paystack or another payment provider appointed and disclosed by BidZid. Payment processing is subject to the provider’s own terms, security controls and availability. BidZid does not store full card numbers or card security codes.
To support transaction integrity, Seller payout is subject to BidZid’s Transaction Hold and approval process. Seventy-two (72) hours after successful Buyer payment, the Seller’s net proceeds, after deduction of the applicable Service Fee, may become visible in the Vendor Dashboard as available for withdrawal and the Seller may submit a withdrawal request. This technical withdrawal eligibility does not constitute release of funds, approval of payout or an entitlement to immediate payment. The detailed process is set out in the Withdrawal and Funds Release Policy.
BidZid will not ordinarily approve a Seller withdrawal before the relevant order or shipment has been marked Delivered by the Seller, or delivery/collection has otherwise been reasonably established. BidZid may verify delivery or collection through the Buyer’s Confirm Receipt action where available, carrier or tracking records, written Buyer confirmation, proof of collection or handover, direct verification with the Buyer, or other reliable evidence. Where the Seller creates a shipment through the Platform, the Buyer may be shown a Confirm Receipt option; that feature is not available for every fulfilment method and its absence does not remove the Buyer’s protection rights. Once BidZid is reasonably satisfied that delivery or collection occurred and there is no known dispute, refund request, chargeback, fraud indicator, sanctions or legal-compliance concern, payment reversal, verification issue, court order or other legitimate unresolved risk, BidZid may approve payout. BidZid is not required to wait for the full 48-hour BidZid Guarantee reporting period before approving payout. BidZid may also set off amounts the Seller owes BidZid against sums otherwise payable to the Seller, to the extent permitted by law.
Nothing in these Terms is intended to represent that BidZid is a bank, deposit-taking institution, e-money issuer or independently licensed payment service provider. Payment services are provided through the appointed payment provider and any payment arrangement will be operated subject to applicable payment-system law.
13. DELIVERY, COLLECTION AND RISK
Unless a Listing expressly states otherwise, the Seller is responsible for arranging delivery or collection, providing accurate dispatch information and ensuring suitable packaging. BidZid does not ordinarily take possession of, warehouse, inspect or deliver listed items.
The Seller should use traceable delivery methods for shipped items and retain proof of dispatch and delivery. For physical handovers, Buyers and Sellers should use a safe location and retain reasonable proof of collection.
Risk of loss, title and delivery obligations between the Seller and Buyer are governed by their contract, the Listing and applicable law. BidZid is not responsible for loss, theft or damage caused by an independent courier or by a party’s failure to package, address, dispatch or collect an item properly, except to the extent liability cannot lawfully be excluded.
14. RETURNS, REFUNDS AND BUYER PROTECTION
The Returns, Refunds and Buyer Protection Policy forms part of these Terms. It explains the BidZid Guarantee, the 48-hour Platform claim window, evidence requirements, return procedures, allocation of return costs and refund administration.
The 48-hour BidZid Guarantee claim window runs from actual delivery or collection, or another delivery event reasonably established by BidZid. It is separate from the 72-hour technical withdrawal-eligibility period that runs from Buyer payment. A Seller may therefore become eligible to request withdrawal before delivery or before the 48-hour reporting period has expired. BidZid may keep the request pending where delivery has not been confirmed or a known issue requires review, but BidZid does not promise to hold every payout for the full 48 hours after delivery. Approval or payment of Seller funds during that 48-hour period does not by itself extinguish an eligible BidZid Guarantee claim raised within the applicable window, and does not extinguish any non-waivable statutory warranty, consumer remedy or cause of action that a Buyer may have against a Seller.
Where a dispute is opened in time, BidZid may keep any pending withdrawal request unapproved, withhold an unpaid Seller balance, or, where payout has already occurred, recover or set off the corresponding amount from the Seller to the extent permitted by these Terms and applicable law. BidZid’s determination governs the administration of funds and refunds within the Platform, but does not prevent a party from exercising rights before a court, tribunal, regulator or other competent body where applicable.
15. RATINGS, REVIEWS AND COMMUNICATIONS
Users may be able to communicate, rate transactions or submit reviews. Reviews must be based on genuine experience and must not be knowingly false, defamatory, threatening, discriminatory, unlawful, extortionate or used to manipulate another User.
BidZid may moderate or remove content that violates these Terms or applicable law. BidZid may preserve transaction communications where reasonably necessary for support, fraud prevention, dispute resolution, legal claims and compliance, in accordance with the Privacy Policy.
16. PLATFORM INTEGRITY AND PROHIBITED CONDUCT
Users must not:
- circumvent BidZid fees, payment controls, identity checks or transaction processes by using the Platform primarily to solicit an off-platform transaction;
- access another person’s Account without authority, scrape or harvest data unlawfully, introduce malware, interfere with Platform operation, probe security without authorisation or overload Platform infrastructure;
- create deceptive, duplicate or synthetic identities or Accounts;
- manipulate Auctions, ratings, reviews, search results, recommendations or transaction records;
- use BidZid to launder proceeds, commit fraud, deal in stolen property, evade sanctions, infringe intellectual property or facilitate any unlawful activity;
- harass, threaten or discriminate against another User or BidZid personnel; or
- use information obtained through a transaction for unrelated marketing, profiling or other purposes inconsistent with the Privacy Policy or applicable law.
17. SUSPENSION, RESTRICTION AND TERMINATION
BidZid may warn, restrict, suspend or terminate an Account, Listing, Wallet access, bidding privilege or payout where reasonably necessary to investigate suspected fraud, protect Users, enforce these Terms, respond to a chargeback, comply with law or a payment-provider requirement, or address a material breach.
Where circumstances permit, BidZid will give the affected User notice of the material reason and an opportunity to provide information. Immediate action may be taken where delay could expose Users, funds, the Platform or the public to material risk.
Termination does not cancel accrued payment obligations, completed sales, valid refunds, chargebacks, indemnities, tax duties or other provisions intended to survive termination.
18. INTELLECTUAL PROPERTY AND USER CONTENT
The BidZid name, logo, software, website design, databases, text created by BidZid and other Platform materials are owned by or licensed to BidZid and are protected by applicable intellectual-property law. Users receive a limited, revocable, non-transferable right to use the Platform for its intended purposes.
A User retains ownership of content the User uploads, including Listing photographs and descriptions. By uploading content, the User grants BidZid a non-exclusive, worldwide, royalty-free licence for the duration reasonably necessary to host, reproduce, adapt for technical formatting, display, distribute and promote that content in connection with operating and marketing the Platform and the relevant Listing.
A User must have all rights necessary to upload content and must not infringe copyright, trade marks, privacy, publicity or other rights. BidZid may remove allegedly infringing content while a complaint is reviewed.
19. PRIVACY AND DATA PROTECTION
BidZid processes Personal Data in accordance with its Privacy Policy and applicable Kenyan data-protection law. Transaction data may be shared between the successful Buyer and Seller to the extent reasonably required for delivery, collection, returns, support and dispute handling. Payment data is processed through the appointed payment provider.
20. THIRD-PARTY SERVICES AND LINKS
The Platform may integrate or link to payment processors, couriers, analytics services, hosting providers or other third-party services. Those third parties are independent and may apply their own terms and privacy practices. BidZid is not responsible for third-party acts or omissions except where BidZid is legally responsible for selecting, instructing or supervising the provider.
21. ELECTRONIC COMMUNICATIONS AND RECORDS
Users consent to transact electronically and to receive notices, confirmations, receipts, Auction outcomes, support communications and policy updates by email, SMS, Platform notification or other electronic means associated with the Account. Electronic records, system logs, timestamps and communications may be relied upon as evidence to the extent permitted by law.
Users should retain copies of transaction confirmations and these Terms. Where applicable law requires an opportunity to review, correct, accept or retain information before entering an internet agreement, the Platform process is intended to provide that opportunity.
22. CONSUMER RIGHTS AND NON-EXCLUDABLE PROTECTIONS
Nothing in these Terms excludes, limits or waives any right, warranty, condition, guarantee, remedy or liability that cannot lawfully be excluded or limited, including rights that may arise under the Consumer Protection Act, Sale of Goods Act, Competition Act or other applicable Kenyan law.
Any “sold as seen”, “final sale”, inspection-window, disclaimer or limitation wording applies only to the maximum extent permitted by law and does not validate a false, misleading or deceptive Listing or remove a Seller’s duty to disclose material defects and comply with mandatory consumer protections.
23. DISCLAIMERS
Except for obligations expressly assumed by BidZid and rights that cannot lawfully be excluded, the Platform is provided on an “as available” basis. BidZid does not guarantee that every Listing is accurate, that every User will perform a transaction, that every item is genuine or fit for purpose, or that the Platform will be uninterrupted or error-free.
Any verification badge, rating, review, recommendation or algorithmic suggestion is an aid to marketplace use and is not a guarantee of identity, quality, authenticity, solvency, suitability or future conduct.
24. LIMITATION OF LIABILITY
To the maximum extent permitted by law, BidZid is not liable for indirect, incidental, special or consequential loss, loss of profits, loss of opportunity, loss of goodwill or loss arising solely from the acts or omissions of an independent Seller, Buyer, courier or other third party.
Where BidZid is liable to a User in connection with a particular transaction and the law permits a monetary limitation, BidZid’s aggregate liability arising from that transaction will not exceed the greater of (a) the Service Fee actually received by BidZid for that transaction or (b) the amount of direct loss proven to have been caused by BidZid, subject to any higher amount required by law. This clause does not limit liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence where such liability cannot lawfully be limited, or any other non-excludable liability.
25. INDEMNITY
To the extent permitted by law, a User will indemnify BidZid, its officers and personnel against third-party claims, losses, penalties and reasonable costs arising from the User’s unlawful conduct, infringement of third-party rights, fraudulent activity, material breach of these Terms, or, in the case of a Seller, sale of an unlawful, counterfeit, unsafe or misdescribed item. An indemnity does not apply to the extent the loss was caused by BidZid’s own breach, negligence or unlawful conduct.
26. FORCE MAJEURE
A party is not liable for delay or failure caused by events beyond its reasonable control, including major telecommunications or payment-network outages, natural disasters, war, civil disturbance, governmental action, epidemic, fire, flood or widespread cyberattack, provided the affected party takes reasonable steps to mitigate the effect. Payment obligations already due and obligations that can reasonably still be performed are not automatically excused.
27. COMPLAINTS AND DISPUTE RESOLUTION
Transaction disputes should first be raised through the Platform or by contacting support@bidzid.app in accordance with the Returns, Refunds and Buyer Protection Policy. BidZid may request documents, photographs, video, delivery evidence, payment records and communications from either party.
The parties should first attempt in good faith to resolve any dispute with BidZid informally. Nothing prevents a consumer from contacting the Competition Authority of Kenya, the Office of the Data Protection Commissioner, the Kenya Revenue Authority or another competent regulator where the matter falls within that body’s jurisdiction.
These Terms and any dispute arising from them are governed by the laws of Kenya. Subject to any mandatory consumer forum or statutory dispute mechanism, the courts of Kenya have jurisdiction.
28. CHANGES TO THE PLATFORM AND THESE TERMS
BidZid may modify Platform features or these Terms to address legal, regulatory, security, technical or commercial changes. Material changes will be communicated by reasonable electronic notice or prominent Platform notice. Changes will apply prospectively from the stated effective date and will not retrospectively alter a completed transaction except where required by law or agreed by the affected parties.
29. GENERAL PROVISIONS
Entire Agreement. These Terms together with policies expressly incorporated by reference constitute the agreement between BidZid and the User concerning the Platform and supersede prior platform terms on the same subject, without affecting separate contracts between a Buyer and Seller.
Severability. If any provision is invalid or unenforceable, it will be read down to the minimum extent necessary or severed, and the remaining provisions continue in effect.
No Waiver. Failure to enforce a provision immediately is not a waiver of the right to enforce it later.
Assignment. A User may not assign Platform rights or obligations without BidZid’s written consent. BidZid may assign these Terms as part of a lawful restructuring, merger, acquisition or transfer of the Platform, subject to applicable law and data-protection requirements.
No Partnership or Employment. Except for the limited marketplace facilitation relationship expressly described, nothing creates a partnership, employment relationship, joint venture or fiduciary relationship between BidZid and a User.
